Krutz & Leopard, L.L.P. 1111 Park Avenue New York, New York 10013 RE: F-Mart, Inc. v. China Trade Promotion, Inc. L & T No.: CA-04-12345 Dear Mr. Krutz: In an effort to settle the above case in an amicable and expeditious fashion, China Trade Promotion, Inc. (China Trade), makes the following offer: China Trade hereby promises to pay directly to your client, the remainder of all proceeds received by it from any sale of its assets, after satisfaction of the IRS liens and payment of its outstanding legal fees. Obviously, due to the uncertainty of the legal fees at the moment, it is impossible for us to make this offer with a specific dollar figure in mind. In the meantime, China Trade will pay your client USD $ 4,000.00 each week for current rent. In return, you shall have the new landlord promise to cooperate in any sale and transition of the business. Said landlord shall also undertake to resume any claims or liabilities against China Trade theretofore and after. If these terms are acceptable, I suggest we have the case returned to files pending consummation of the above transaction within a reasonable time period. Thank you for your cooperation and I look forward to hearing from you soon. Sincerely yours, Wang, Zhang & Lee ____________________________ Deguang Zhang, Esq.
