这是在中国设立全部资本为外国投资者所有的外资企业（又称独资企业）须向外商投资企业的审批机构报送的法律文件之一。外商投资企业的审批机构，根据国务院的授权分别是对外经济贸易部及省、自治区、直辖市、计划单列市、经济特区等地的人民政府。对外经济贸易部内，由外资司负责审批工作。地方人民政府中，一般由经贸委（厅、局）负责审批工作。
