The service contract (hereinafter "Contract”) is entered into by Consigner and           . The Consigner agrees to buy and     agrees to sell the services specified below according to the following terms and conditions:

本 服 务 合 同 ( 以 下 简 称“ 合 同 ”) 兹 由 服务 双 方 签 订。按 照 下 述 条 款 和 条 件， 被 服 务 方 同 意 签 订 服 务、  同 意 提供 以 下 服 务：

3.      Service term 服务条款

 

3.12、Consignee responsibility 服务方责任

（1）Service person should obey consigner’s related regulation.服务人员应遵守甲方的各项规章制度。

（2）Consignee should equip with professional tools and measurement meter服务方需自行配备工作所需的各种专业工具及设备。

（3）The spare parts used for repair should have the same quality of original components 乙方在维修过程中更换的维修零配件必须与原配件同级同质

（4）When dealing with big repair project, consignee should provide service engineering contents and quotation to consigner 当需要完成合同之外所需的较大维修项目时，乙方应及时将相关工程内容和报价提供给甲方。

6.      Terms of Payment for Services: Payment to CPPC shall be done without any deduction.

  服 务 支 付 条 款： 对 CPPC 的 付 款 不 应 有 任 何 折 扣。          

       After this contract is signed, Consigner will pay 100% of total contract price to CPPC according to the invoice issued by CPPC within 7 days.       

       该合同签定后，被服务方应在7个工作日内凭CPPC 开具的全额正式发票支付100％合同款项。

       All payments to CPPC shall be effected in RMB by telegraphic transfer to following account.

If Buyer does not effect the agreed payments as scheduled, Seller shall be entitled to charge interest to Buyer at the rate of 2% of the due amount per month，or CPPC will keep the serviced good until Consigner finish payment completely.

 如 果 被服务方 不 按 规 定 的 时 间 支 付 议 定 的 款 项，CPPC 有 权 向被服务方收 取 月 利率为 到 期 金 额 2% 的 利 ,或 暂 时 保 留 已 完 成 服 务 的 货 物 直至 被 服 务 方付清欠款。   

 

7.      Governing language语 言：

This Contract is made out in English and Chinese. Both versions are equally authentic.

In event of conflicts or   uncertainty of meanings the Chinese version shall prevail.   

本 合 同 用 英 文 和 中 文 写 成。 两 种 文 本 具 有 同 等 效 力。 当 含 义 冲 突 或 不 明 确 时，

将 以 中 文 文 本 为 准。

 

8.       Others其他

(1)     All disputes arising out of or in connection with this Contract, including any question regarding its existence, validity or termination, shall be finally settled by the China International Economic and Trade Arbitration Commission (CIETAC) by three arbitrators in accordance with the Rules of CIETAC. The seat of arbitration shall be Shanghai. The procedural law of this place shall apply where the Rules are silent. The arbitral award shall be final and binding upon both parties hereto. The language to be used in the arbitration proceeding shall be Chinese.

因 本 合 同 产 生 的 或 与 其 有 关 的 任 何 争 议， 包 括 关 于 合 同 存 在、 有 效 和 解 除 的 任 何 问 题， 都 应 经 中 国 国 际 经 济 贸 易 仲 裁 委 员 会( C I E T A C ) 的 三 名 仲 裁 员 根 据C I E T A C 的规 则 仲 裁 最 终 解 决。  仲 裁 地 点 在 上 海 。 仲 裁 规 则 未 规 定 处 适 用 当 地 的 程 序 法。 仲 裁 结 果 是 终 局 性 的 并 对 双 方 具 有 约 束 力。 仲 裁 过 程 使 用 的 语 言 应 为 中 文。

 

(2)     If individual provisions of this Contract are or become ineffective, this shall not affect other provisions. The Parties shall amicably attempt to agree on new provisions of equal economic effect to the ineffective provisions they replace.

本 合 同 的 个 别 条 款 无 效 或 失 效， 将 不 影 响 其 他 条 款。 各 方 应 友 好 协 作 达 成 新 的 条 款， 使 其 具 有 被 取 代 条 款 相 应 的 经 济 效 益。

 

 

(3)  Any amendments to this Contract are only valid if agreed upon in writing.

  对 本 合 同 的 任 何 修 改 只 有 在 双 方 书 面 同 意 后 才 可 生 效。

 

9.       Applicable Law适用法律

     The law of the PRC shall apply to this Contract

     中国的法律应适用于本合同。

IN WITNESS WHEREOF, the parties have caused this Contract to be executed in two originals by their duly authorized representatives on the dates set forth below, with each party retaining one fully executed original.

兹 证 明， 合 同 双 方 已 由 其 正 式 授 权 代 表 在 下 述 日 期 签 署 本 合 同。 双 方 各 执 一 份 已 全 部 签 署 的 合 同 正 本。
